Article 1 — Purpose
These Terms of Sale (hereinafter "ToSale") define the conditions for selling and purchasing Prompts on the prompterie.com Platform, operated by La Prompterie.
These ToSale supplement the Terms of Service. In case of contradiction, these ToSale prevail for provisions relating to commercial transactions.
Article 2 — Products
The products sold on the Platform are Prompts: digital text content intended for use with artificial intelligence tools. Each Prompt is described by a listing page including a title, a description, images showing the result, the targeted AI model and a price.
Article 3 — Prices
3.1 Price setting
The price of each Prompt is set by the Seller within the pricing grid established by the Platform. This grid defines price caps based on the Prompt's length and category. The Seller may set a price below the cap but not above.
3.2 Currency
Prices are displayed and invoiced in euros (EUR), all taxes included.
3.3 Free Prompts
Some Prompts may be offered for free by Sellers or by the Platform. Access to free Prompts requires a Member account but no payment.
Article 4 — Orders and payment
4.1 Purchase process
The Buyer selects the desired Prompt and completes payment online. Payment is made by card via the Platform's secure payment provider. The Platform stores no Buyer banking data.
4.2 Confirmation
A confirmation email is sent to the Buyer after each purchase, summarising the Prompt acquired, the amount paid and the access terms.
4.3 Access to the Prompt
Access to the full Prompt content is immediate upon payment confirmation. The Prompt remains accessible from the Buyer's personal area as long as their account is active.
Article 5 — Right of withdrawal
Pursuant to Article 16 of Directive 2011/83/EU on consumer rights and Article 40e of the Swiss Federal Act against Unfair Competition (UWG/LCD), the right of withdrawal does not apply to the supply of digital content not supplied on a tangible medium when execution has begun with the consumer's prior express consent.
As the Prompt is accessible immediately after payment, the Buyer expressly waives the right of withdrawal by proceeding with the purchase.
Article 6 — Commission and revenue split
6.1 Commission
The Platform charges a commission of twenty percent (20 %) on the sale price of each Prompt. The remaining eighty percent (80 %) goes to the Seller.
6.2 Transaction fees
Payment processing fees charged by the payment provider are deducted from the Seller's share. Details of applicable fees are provided in the seller area.
6.3 Payouts
Seller revenues are paid out automatically each week, every Monday, by our payment provider Stripe, subject to the minimum threshold applicable to the Seller’s Stripe Connect account (typically one Swiss franc or one euro, depending on the account currency). Payouts are made directly to the bank account registered by the Seller upon activation of their status. Transfers to a Swiss bank account are free of charge.
Article 7 — Prompt updates
The Seller may update the content of their Prompts after publication. Existing Buyers automatically and freely benefit from the most recent version of the Prompt.
Article 8 — Orphan Prompts
8.1 Definition
A Prompt is "orphan" when the Seller who published it has deleted their account.
8.2 Assignment to the Platform
By deleting their account, the Seller assigns all of their non-previously-deleted Prompts to the Platform, in accordance with the Terms applicable to Sellers. Orphan Prompts remain on sale on the Platform and are sold under the name of La Prompterie. Revenue generated by orphan Prompts accrues entirely to the Platform.
8.3 Rights of Buyers
Buyers who purchased a Prompt before it became orphan retain full access rights.
Article 9 — Compliance and claims
In case of manifest non-compliance of a Prompt against its description (the Prompt does not produce the described result, the content is incomplete or inconsistent), the Buyer may report the Prompt via the dedicated reporting feature.
The Platform will review the report and may, at its sole discretion, remove the Prompt and refund the Buyer. The Platform's decision is final.
Article 10 — Invoicing
The full transaction history is available in the Buyer's personal area. Payment receipts in PDF format can be downloaded for each transaction.
Article 11 — Liability
The Platform acts as a technical intermediary and cannot be held liable for the quality, relevance or accuracy of results obtained through the use of Prompts. The Seller is solely responsible for the content of their Prompts and the compliance of their offers.
Article 12 — Applicable law
These ToSale are governed by Swiss law. In the event of a dispute, the parties will first endeavour to reach an amicable solution through direct exchange before any judicial action.
